File: BDAA – Unexpired Board Officer Term Fulfillment
If the Chair is unable to complete their term as a Board Officer and one hundred (100) or more days of that term remain, the M.S.A.D. No. 75 Board of Directors will elect a new Chair to fill the balance of the unexpired term. The election of the new Chair must appear on the agenda for the Board meeting at which the election will take place. When holding such an election, Board members will first give special consideration to the town from which the previously-elected Chair was elected.
If a Chair is unable to complete their term as a Board Officer and fewer than one hundred (100) days of that term remain, the Vice-Chair will serve as Acting Chair for the balance of the unexpired term. Following regular Board Officer elections, the Vice-Chair Elect will serve as Acting Vice-Chair for the balance of the unexpired term.
The same procedure shall be followed if the Vice-Chair is unable to complete their term, with the following modification: if no member from the previously-elected Vice-Chair’s sending town is elected, the Board will offer the nomination to members from the next town in the Board Officer rotation, as laid out in Policy BDA – Board Election Officers, proceeding through this rotation until a member is elected Vice-Chair. The rotation of towns in the next regular Board Officer election will then follow the town of the newly-elected Vice-Chair.
If the Vice-Chair is replaced prior to January 1st, it is expected that the newly-elected Vice-Chair will replace a member of the same town as a Finance Committee member. If the Vice-Chair is replaced after January 1st, the newly-elected Vice-Chair will be added to the Finance Committee, regardless of their sending town. If a town is left without a member, a sixth Finance Committee member from that town will be appointed by the Board. The newly-elected Vice Chair may request the Board appoint one of the current Finance Committee members as a Committee Co-Chair if they deem it necessary.
